Creator Terms

1. Eligibility

You must have a Tokomi account in good standing and be at least 18 years old. To receive payouts you must also be able to provide the identity, tax and payment information we or our payout provider require, and you must not be located in a country or territory subject to comprehensive U.S. sanctions.

2. Your Creator Content

You retain ownership of the Creator Content you create. In addition to the license in Section 3 of the Terms of Service, you grant Tokomi a worldwide, non-exclusive, royalty-free, sublicensable license to: (a) use your Creator Content to generate AI outputs for users who interact with it, and to store those outputs in their conversations; (b) display your Creator Content, your creator name and avatar in rankings, recommendations, search results, marketing and promotional materials for the Service; (c) adapt your Creator Content as needed to run on different devices and surfaces and to comply with moderation requirements; and (d) keep copies of your Creator Content as needed for users who have already interacted with it, even after you unpublish or delete it, so that their existing conversations continue to work.

You represent and warrant that you own or have all rights, licenses, consents and permissions needed to publish your Creator Content and grant these licenses; that it does not infringe any copyright, trademark, right of publicity, privacy right or other right of any person; that it does not depict a real person without their consent; that it complies with the Community Guidelines, including the absolute prohibition on sexual content involving minors; and that any code you submit (mini apps, themes) is free of malware, does not collect data beyond what the Tokomi SDK exposes, and does not do anything you have not disclosed.

3. Publishing and moderation

All Creator Content is subject to review, which may be automated, human or both, before or after publication. We may decline to publish, unpublish, edit metadata of, restrict the visibility of, or remove any Creator Content at any time if we believe it violates these Creator Terms, the Terms of Service or the Guidelines, if we receive a valid legal complaint, or if it poses a risk to users or the Service. We may also apply age or content labels and adjust recommendations in our discretion. Where practicable we will tell you the reason and you may appeal as described in the Guidelines.

You are responsible for accurately labeling your Creator Content, including its themes and intended audience, and for keeping it compliant as rules change.

4. Gems and creator earnings

Eligible creators earn “Gems” when users spend Stars or make purchases in connection with their Creator Content, at the rates and under the conditions published in Creator Studio at the time of the spend. Rates, eligibility rules and which activities earn Gems may change from time to time; changes apply prospectively and we will announce material changes in Creator Studio at least 14 days in advance where practicable.

Gems are a bookkeeping unit for amounts we may owe you; they are not currency, cannot be spent in the Service and have no value except as described here. We may adjust or reverse Gems that resulted from refunds, chargebacks, fraud, self-dealing (for example spending on your own content through other accounts), manipulation, or violations of these Creator Terms or the Guidelines, and we may withhold payouts while we investigate.

5. Payouts

You may request a payout once your Gems balance meets the minimum threshold shown in Creator Studio. Payouts are made in U.S. dollars (or another currency we support) through the payout methods we offer, converted at the rate shown at the time of the request, less any payout provider fees disclosed to you. Before your first payout, and periodically thereafter, we or our payout provider may require you to verify your identity and provide tax documentation (for example IRS Form W-9 for U.S. persons or the applicable Form W-8 for non-U.S. persons). We may delay or refuse payouts until this information is complete and verified.

We aim to process payout requests within 15 business days. We may hold payouts, or offset amounts against your balance, where required by law, where a payment to you has been reversed, or where we reasonably suspect fraud or a violation. Gems that are unclaimed for 24 months after they were earned, or that remain in an account you delete or that is terminated for cause, are forfeited.

You are responsible for all taxes on your earnings. Where required, we will report payments to tax authorities and may withhold taxes from payouts.

6. Independent relationship

You are an independent creator, not an employee, agent, partner or joint venturer of Tokomi. Nothing in these Creator Terms gives you authority to bind Tokomi. Earnings are not wages, and you are not entitled to employee benefits. You are free to publish your work elsewhere, subject to the licenses you have granted us.

7. Analytics and user data

Creator Studio shows you aggregated statistics about your Creator Content, such as chats, likes, favorites and earnings. You will not receive users’ private conversations or personal information. Any user data you do receive through the Service (for example a username on a comment) may be used only to operate your Creator Content on Tokomi and in accordance with our Privacy Policy and applicable law. You may not attempt to identify, contact off-platform, or build profiles of users based on their interactions with your content.

8. Mini apps, themes and the SDK

If you build mini apps or themes, you may use the Tokomi SDK and developer documentation only to create content for the Service, under the license terms accompanying them. You may not use the SDK to access data or functionality beyond what it exposes, to interfere with the Service, or to build products that compete with the Service. We may change or discontinue SDK features with reasonable notice; where a change breaks published content we will try to give you time to update it. You are responsible for supporting your mini apps and themes.

9. Confidentiality

We may give creators early access to unreleased features, documentation or information that is not public. You agree to keep such information confidential and not to use it for any purpose other than creating for Tokomi until we make it public.

10. Termination

You may stop creating at any time and may unpublish or delete your Creator Content, subject to Section 2(d). We may suspend or terminate your participation in the creator program, with or without terminating your account, if you breach these Creator Terms, the Terms of Service or the Guidelines, or if we discontinue the program. On termination for cause, unpaid Gems are forfeited. On termination for any other reason, we will pay out any balance above the minimum threshold within 60 days, subject to Section 5.
